Nach einem Vergleich der beiden Theorien und den Auswirkungen der Theorien auf die Gestaltung der Corporate Governance wird im zweiten Teil der Arbeit anhand des Praxisbeispiels Wirecard erläutert, wie die Theoriegrundlagen angewendet wurden und welche Mechanismen zum Versagen der Corporate Governance in diesem Fall beitrugen.

The e-book describes and evaluates the status and functioning of the constitutional and governance systems of the Western Balkans countries (Albania, Bosnia and Herzegovina, Kosovo, Montenegro, Northern Macedonia, Serbia), with regard to their EU-accession. As it describes the main branches of government functions, it may also be used as a handbook, which also identifies the bottlenecks of governance (especially the sensitive ethnic power sharing and representation issues) and critically examines the rule of law aspects. This comparative study covers all six countries of the region systematically, in terms of governance and rule of law. The e-book presents all major institutional fields of constitutional and administrative law: electoral system, ethnic issues, organisation of the state, separation of powers (legislative, executive, judiciary), administrative procedure, civil service, and constitutional adjudication.&lt;br /&gt;&lt;br /&gt;Zsolt Szabó is associate professor at Károli Gáspár University of the Reformed Church in Hungary. Studienarbeit aus dem Jahr 2023 im Fachbereich BWL - Allgemeines, Note: 1,3, IU Internationale Hochschule, Sprache: Deutsch, Abstract: Die nachstehende Fallstudie beschäftigt sich mit der Fragestellung, wie ein gutes Corporate Governance-System gestaltet und umgesetzt werden kann. Dabei wird in dreigliederigier Herangehensweise argumentiert. Im ersten Teil wird sich auf die theoretischen Grundlagen des Corporate Governance fokussiert. Im zweiten Teil werden dann die theoretischen Grundsätze erläutert, wie das Governance System als Allgemeines wie auch relevante Theorien, welche eine unterstützende Verständnisfunktion beabsichtigen. Im letzten Teil soll dann anhand der Maxbüro AG das zuvor theorisierte visualisiert werden. Dabei ist die Maxbüro AG als börsenorientierte Aktiengesellschaft mit Sitz in Frankfurt zu beschreiben, welches sich aus 1.800 Mitarbeiter und einem 9-köpfigen Aufsichtsrat zusammensetzt. Die Produktion der Büromöbel findet sowohl auf internationaler als auch auf nationaler Ebene statt. Der Vertriebsweg gestaltet sich größtenteils durch den örtlich ansässigen Verkaufsladen, zielt aber immer mehr auf die Umstellung von Onlineshops ab. Jedoch machen sich bei der Maxbüro AG einige Problemstellungen bemerkbar, welche nachgehend analysiert werden. Anhand dessen werden dann Handlungsempfehlungen und verbessernde Optimierungsvorschläge des bereits bestehenden Governance Systems erarbeitet und erläutert.In den letzten Jahrzehnten gab es in der Wirtschaftswelt vermehrt mikro- und makroökonomische Wirtschaftskrisen, wirtschaftsrechtliche Skandale und Betrugsfälle. Diese führten oftmals dazu, dass rechtliche Folgen für die betroffenen Unternehmen und die jeweiligen Vertreter vollzogen werden mussten. Bekannte Beispiele hierfür wären der WorldCom Skandaloder aber auch der Wirecard Skandal, welche sowohl medial als auch politisch stark polarisierten. All diese Skandale liegen ungenügender Steuerung sowie unzureichenden Regelungen zu Grunde. Um eine langfristige Verbesserung herbeizuführen, wird immer wieder auf den Bereich des Corporate Governance zurückgegriffen. Dieser stellt ein viel diskutiertes Thema dar, was daran liegt, dass in der bestehenden Forschung bis dato keine einheitliche Theorie existent ist. Grundsätzlich beschreibt es das Zusammenspiel verschiedener Elemente, die das Verhalten von Unternehmen bestimmen. Dabei sind vor allem die übergeordneten Strukturen, Verfahren und Ziele von großer Bedeutung. Die Intension dahinter ist es, Unternehmen zu stärken und mit einer nachhaltigen Entwicklung in der Wirtschaft voranzutreiben.

Seminar paper from the year 2022 in the subject Business economics - Business Management, Corporate Governance, grade: 1,7, University Witten/Herdecke, language: English, abstract: The purpose of this paper is to capture and highlight the arising opportunities that are embedded in the topic of MSPs and deliver the results in an accessible way for managers. To further establish a basic managerial guide on how to approach the possible implementation of a MSP into an own organization or as an independent start-up, an introduction to the fundamental mechanics of platforms is given. The guide holds a major focus on the challenges that are inherent to the technology, concept, and structure of MSPs to raise the awareness of managers early on and give a balanced overview of the topic at hand. This term paper is written for the seminar Digital Transformation in Organizations and is therefore limited to a theoretical nature in form of a literature review and will not engage in any form of empirical study. Regarding the above mentioned successful and failed platform businesses, the guiding question can be derived: What are the strategic challenges managers need to consider when they want to launch their own successful MSP? Relating to the considerable effort that is linked to these strategic challenges, each chapter will give a short overview of what managers should focus on when they want to tackle this specific problem. The topic of digital transformation attracts more and more businesses, mostly because they want  to ensure their viability in now rapidly changing environments. Others seek to gain an edge over  their competitors by utilizing new technologies and structures. Multi-sided platforms fulfill both criteria and their ever-growing success in the recent decade led to many all-out hunts for the next  big platform. With seven out of ten of the most valuable businesses worldwide utilizing multi-sided  platforms, many strategically acting managers seek to better understand the topic before trying to  implement it as any successful multi-sided platform is accompanied by numerous failures. This  paper contributes by uniting fundamental knowledge and new findings to create an easy-to-read  handbook about the most essential features of multi-sided platforms. In the main part, the  challenges that are inherent to the platform technology are analyzed. A focus lays on creating  condensed guidelines that managers should consider when facing specific problems.
