'The Applicability of the Annulment Model to Resolutions of Associations': The prevailing view in German jurisprudence and scholarship is that defective resolutions of registered associations are ex lege void. This thesis rejects that view by arguing that a defect renders such a resolution merely voidable by court action. This conclusion is based on an analogous application of the statutory regimes governing defects in resolutions of other legal forms, namely stock cooperations, commercial partnerships cooperatives.
