Redemption Compensation, Capital Maintenance Rules and Limited Liability': According to the Federal Court of Justice, shareholders in a limited liability company (GmbH) can be held personally liable for a redemption compensation if it cannot be paid out due to capital maintenance rules. The thesis critically analyses the case law and its consistency with statutory law. Additionally, it argues that the exemption from capital maintenance rules applicable to shareholder loans should also apply to deferred redemption payments.
