'Approaches for Reducing the Duration of Appraisal Proceedings (Spruchverfahren)': Appraisal proceedings under German law, which review the compensation owed to minority shareholders in corporate restructurings such as squeeze-outs, are notorious for their duration. Drawing on an empirical survey of cases closed between 2015 and 2023, this work shows that proceedings remain protracted because legislative reforms miss the real causes. To accelerate them, it proposes standardising key valuation parameters by statute and strengthening the independent expert review.
