Legal and Technical Implications of Fractional Preemptive Rights to Shares': The thesis aims to eliminate the legal uncertainty associated with the determination of subscription ratios in the capital increase and, to this end, subjects the legal and technical implications of fractional preemptive rights regarding shares to a thorough analysis. In doing so, the central questions are raised and successively answered, taking into account the shareholder and company perspective as well as comparative legal findings on the British regulations.
