Die Autorin beleuchtet unter dem neuen Rechtsbegriff der "Gesellschaft in der Gesellschaft" das Phänomen, wenn alle oder mehrere Gesellschafter einer Gesellschaft eine schuldrechtliche Gesellschaftervereinbarung abschließen und hierdurch eine Gesellschaft in der Hauptgesellschaft ("Binnengesellschaft") gründen, meist in Form einer nicht rechtsfähigen Gesellschaft bürgerlichen Rechts. Der Fokus liegt dabei auf Binnengesellschaften in Kapitalgesellschaften.&nbsp;&nbsp;
Durch das Entstehen einer "Gesellschaft in der Gesellschaft" entsteht ein Spannungsverhältnis zwischen faktischer Nähe und rechtlicher Selbstständigkeit der beiden Verbände.&nbsp;Die Autorin untersucht dieses Spannungsverhältnis einschließlich seiner praktischen Implikationen und ordnet das Verhältnis der beiden Gesellschaften dogmatisch ein.

Do those who go to court without legal representation receive a fair trial? The right to a fair trial under Article 6 of the European Convention on Human Rights depends on being able to participate effectively in court proceedings. Yet litigants in person - individuals who appear without legal representation - frequently encounter intellectual, practical, emotional and attitudinal barriers that undermine that participation. This book examines what effective participation means for litigants in person and how it can be secured in the ordinary conduct of civil and family proceedings. Drawing on extensive empirical research with litigants in person, judges, lawyers, court staff and McKenzie Friends, it explains how participative gaps arise in practice and the limits of existing doctrinal frameworks which identify unfairness only after proceedings have concluded. The book develops a theory of participative justice and identifies ten descriptors of effective participation. These descriptors translate the abstract requirements of the right to a fair trial into practical, observable conditions that can be recognised and addressed during litigation, rather than retrospectively on appeal or review. Written for academics, judges, lawyers, policy makers and practitioners concerned with access to justice and the operation of civil and family courts, the book provides a principled and practical framework for understanding, assessing and protecting fair trial rights for litigants in person.

Effective Participation for Litigants in Person

This book explores the resilience and longevity of President Yoweri Museveni’s regime in Uganda, tracing the evolution of the National Resistance Army (NRA) from a victorious insurgency into one of Africa’s most enduring regimes. It challenges the assumption that the NRA’s 1986 victory in Uganda marked a complete institutional rupture. Instead, the book argues that the NRA —later institutionalized as the National Resistance Movement (NRM)—governed within a residual social landscape shaped by entrenched traditional monarchies, religious institutions, landed elites, and historic political parties that survived Uganda’s civil wars. Confronted with these deeply rooted social forces, the NRM regime was compelled to fuse coercion with co-optation, selective patronage, and strategic concessions. This hybrid approach produced a civil-authoritarian order in which political control is sustained not only through repression, but also through co-optation, negotiation, and accommodation of powerful societal interests. By foregrounding the interplay between state power and enduring social structures, the book contributes to comparative debates on authoritarianism, state-building, and post-conflict governance in Africa and beyond.
Gerald Bareebe is an Associate Professor of Political Science at York University in Toronto, Canada. His research and teaching focus on politics and government, international relations, civil wars, and the comparative politics of the Global South. He holds a PhD in Political Science from the University of Toronto, as well as master’s degrees in international relations from Makerere University and in Governance and Development from the University of Antwerp, Belgium.

Social Structures and the Making of Museveni’s Civil-Authoritarian Regime in Uganda

The book examines the practice of judicial reasoning in Tort law, understood as a process of justification, consisting of both deductive and non-deductive elements, and therefore involving a significant element of choice or discretion. The book divides the elements of judicial reasoning into four conceptual categories: factual assessments, application of legislative and judge-made rules, reliance on reasonableness, and policy considerations. To discuss these elements in a comparative perspective the book uses the English and French judicial traditions of Tort law as case studies. This enables the author to present a range of methods of establishing facts, drawing inferences, using legal sources and relying on policy arguments. By closely examining selected Tort judgments from both jurisdictions, the book elucidates the phenomenon of law-making through adjudication in both a non-codified and a codified system of liability. It offers a reflection on different approaches legal systems may adopt to the importance in the process of judicial justification of such issues as certainty and truth, common sense, consistency with previous judicial decisions and policy.
The book connects the choice of approaches in judicial reasoning in Tort law with its procedural and institutional context.

This book provides a clear and in-depth analysis of Third-Party Litigation Funding (TPLF) in civil-law systems, with a primary focus on the European Union and comparative insights from Southeast Asia. Drawing on selected case studies and doctrinal analysis, it examines how litigation funding has evolved from a traditionally prohibited practice into an increasingly visible, yet still contested, feature of contemporary civil justice. As litigation costs continue to rise and collective redress mechanisms expand, TPLF has emerged as a practical means of enabling claims that might otherwise never reach the courts. At the same time, courts and policymakers remain cautious about third-party involvement in litigation, particularly where questions of control, transparency, fairness, and public policy arise. The lack of clear and consistent legal standards across jurisdictions has produced fragmented regulatory approaches and ongoing legal uncertainty, especially in relation to champerty, claim assignment, and the proper scope of judicial oversight. The book explains how and why courts in different EU jurisdictions permit, limit, or refuse claims involving TPLF, and clarifies the legal reasoning and policy considerations that underpin these decisions. It also addresses the particular challenges posed by funded collective and competition actions, where courts must carefully balance improved access to justice against the risk of excessive commercialisation of litigation. Overall, the book offers a structured and principled account of how TPLF can be understood and regulated within civil-law traditions. It provides practical and analytical guidance for judges, policymakers, practitioners, and scholars who seek to engage with litigation funding in a way that strengthens access to justice while preserving the integrity of civil adjudication.

This book is the first authoritative reference on Philippine private international law in English. It covers all facets of Philippine private international law and its inevitable intersection with family and succession issues, commercial matters, intellectual property, competition, cross-border insolvency, and environmental disputes. This book goes beyond a systematic presentation of the traditional private international law issues on jurisdiction, applicable law, and enforcement mechanisms. Employing a problem-centred approach, the chapters also look into conflict of law questions arising in arbitration, and assess the Philippines' involvement in the harmonisation of private international law globally and regionally within ASEAN. With the Philippine legal system uniquely blending common and civil law traditions, the book presents Philippine private international law through the perspectives and analytical techniques characteristic of both traditions. Primäre Demenzen sind derzeit nicht heilbar. Aufgrund der steigenden Fallzahlen werden Möglichkeiten der Prädiktion mittels sog. Biomarker intensiv beforscht. Die Ergebnisse, die lediglich Wahrscheinlichkeitsaussagen darstellen, ermöglichen die Errichtung von Patienten- und Forschungsverfügungen. Auf Untersuchungen mittels genetischer Biomarker sind die Vorschriften des Gendiagnostikgesetzes anwendbar. Für Untersuchungen mittels nicht-genetischer Biomarker gelten trotz nahezu gleichen Aussagegehaltes die allgemeinen Vorschriften. Die Patientenverfügung gem. §§ 1827 ff. BGB birgt im Hinblick auf Demenzerkrankungen, die mit einer fortschreitenden Änderung der Persönlichkeit einhergehen, Schwierigkeiten. Dies gilt auch für die nur im Rahmen des Arzneimittelrechtes mögliche Forschungsverfügung. Die Regelungen werden aus verfassungsrechtlicher Sicht, im Hinblick auf Funktionalität und Praktikabilität und aus rechtsexterner, insbesondere medizinethischer Sicht, auf ihre Angemessenheit hin beleuchtet. Anschließend werden Änderungen des Rechts wie die Einführung eines allgemeinen Prädiktionsgesetztes sowie die Ergänzung der Regelungen der Patientenverfügung vorgeschlagen.
