Lessons in Tourism Law

Patronatserklärungen, im Englischen comfort letters genannt, nehmen in der internationalen Konzernfinanzierung eine bedeutende Rolle ein. Für den Verwender stellt sich dabei die Frage ihres Verpflichtungsgehalts. Die Arbeit stellt zunächst die rechtliche Behandlung von Patronatserklärungen im common law dar. Der Schwerpunkt liegt hierbei im englischen und australischen Recht. Dabei können erhebliche Unterschiede in der Bewertung einzelner Erklärungen in den untersuchten Rechtsordnungen festgestellt werden. Darüber hinaus werden verschiedene Erklärungsarten nach deutschem Recht untersucht und hinsichtlich ihrer Rechtswirkungen mit dem common law verglichen. Abschließend wird eine Bewertung einzelner Erklärungen als bankmäßige Sicherheiten nach den verschiedenen Rechtsordnungen vorgenommen.

A guide to the conflict of laws dealing with jurisdiction and applicable law in commercial and employment-related cases enabling practitioners to assimilate and understand the rules which apply in cases that have an international element. Commercial claims have long had an international element and the same is increasingly true for employment cases in particular in employee competition or team moves where, for example, a defendant in country A is orchestrating a team move in country B. Seminar paper from the year 2020 in the subject Business economics - Law, grade: 1,70, Zuyd University of Applied Sciences, language: English, abstract: A comprehensive legal system is the foundation for a healthy economic and social life in every country. It regulates various details of our everyday life, often without us noticing it. We act in the role of a consumer, take advantage of our guarantee for a product or buy a device and thereby conclude a contract of sales. However, we go through all these steps without even being aware of the legal background of our actions. Having this in mind, naturally not every country has the same rules and laws when it comes to regulating life within their borders. That is why, in the following we are going to take Germany, France and Spain as an example to explain different topics that have an impact on every citizen in those countries. To be more precise, the next sections will give a detailed insight into the topics of contract law and breach of contract.

Comparative Law Analysis. A Comparison of the law system in Germany, France and Spain

Gemäß § 77 Abs. 3 BetrVG können Arbeitsentgelte und sonstige Arbeitsbedingungen, die durch Tarifvertrag geregelt sind oder üblicherweise geregelt werden, nicht Gegenstand einer Betriebsvereinbarung sein. Dieser Tarifvorbehalt ist seit jeher heftigst umstritten, was sich im Rahmen der Diskussion bezüglich der Neuregelung des Betriebsverfassungsgesetzes erneut gezeigt hat. Es ist eine offenkundige Tatsache, dass in der betrieblichen Praxis eine Vielzahl von tarifvorbehaltswidrigen Betriebsvereinbarungen geschlossen werden. Bei dieser Erkenntnis setzt die Arbeit an und prüft, ob die Norm möglicherweise infolge der ihr durch die Rechtsprechung gegebenen Ausprägung praktisch nahezu bedeutungslos geworden ist. Neben der unumgänglichen Darstellung der ratio, des Regelungsgegenstandes und der Tatbestandsvoraussetzungen der Norm wird hierzu insbesondere eingehend untersucht, ob der Tarifvorbehalt auch für die Mitbestimmungstatbestände des § 87 Abs. 1 BetrVG und die sog. teilmitbestimmten Betriebsvereinbarungen gilt, ob Umdeutungsmöglichkeiten für tarifvorbehaltswidrige Betriebsvereinbarungen bestehen und welche Rechtsschutzmöglichkeiten gegenüber solchen existieren.
