Great Debates in German and Italian Company Law

This volume offers an introduction to the discourse culture in German and Italian company law. An introductory chapter and the nine contributions that follow offer the reader a richer understanding of some of the most prominent debates of the past and present. The book examines in detail several perennial company law topics, such as legal capital, the concept of limited liability, director compensation, director liability and corporate control transactions. It also addresses contemporary issues such as artificial intelligence and corporate governance, ESG, sustainability and corporate governance, and new legal forms for innovative enterprises. Some of these debates reflect national idiosyncrasies that astonish outsiders, while others have from an early stage had a clear transnational dimension. The included essays identify the catalysts of company law debates and describe their resolutions. Finally, readers learn more about the respective debate participants and relevant discussion forums in German and Italian company law.
