'Acting in Concert in Takeover Law. Interpretation under the Dual Attribution Concept of the German Takeover Code and a Reform Proposal': Public takeovers always involve the cooperation a high number of different entities, which raises complex attribution issues. The relevant regulatory framework of the German Takeover Act is beset by two major problems: the dualistic attribution concept leads to uncertainty about the implementation of the rules and is also overly restrictive. Both issues burden bidders and complicate takeover proceedings. This thesis interprets the applicable attribution concept, identifies solutions de lege lata and develops a reform proposal based on comparative law considerations.
