'Say on Climate Shareholder Resolutions on Climate Issues de lege lata and de lege ferenda': The question of a 'say on climate' only superficially examines the possibility of shareholders in German stock corporations expressing their views on climate transformation issues through a resolution at the annual general meeting. Underlying this is the fundamental issue of corporate law concerning the 'correct' distribution of powers within a stock corporation. The thesis renegotiates this issue in relation to climate transformation and simultaneously provides a proposal for regulation.
