Casablanca, langue: français, résumé: Le droit des entreprises en difficulté était originellement orienté vers leur liquidation en raison de la conception traditionnellement moraliste de la faillite puisque toute faillite revêtait alors un caractère nécessairement fautif, il est apparu au législateur qu’une telle approche de la défaillance économique devait évoluer. 

C’est ainsi que, depuis, la loi 15-95 jusqu’à maintenant, l’accent est mis sur la prévention des difficultés. Dans cette nouvelle donne, le législateur entend s’appuyer sur la caution, personne physique, comme levier d’anticipation. Il lui étend, sous certaines conditions, le bénéfice des mesures protectrices édictées en faveur du débiteur principal dans le cadre de telles procédures. Ces mesures puisent leur essence dans le caractère accessoire de cette sûreté. Elles traduisent, ce faisant, un régime dérogatoire du cautionnement dans le cadre des procédures collectives lequel devrait inciter les créanciers, qui cherchent avant tout le règlement de leurs créances, à envisager comme garanties d’insolvabilité du débiteur principal d’autres mécanismes en les détournant de leurs fonctions premières.  

A son tour, la caution, afin de conjurer le risque de contribution définitive pesant sur elle dans le cas où les procédures envisagées n’ont pas permis de solutionner les difficultés économiques du débiteur principal, devra explorer différentes pistes qui lui permettront de diluer ce risque, et ce, sur le fondement des dispositions de droit commun.

Es interessiert ihn vor allem, wie das deutsche Recht auf die Handlung des im Jahre 1985 in den Vereinigten Staaten von Amerika spielenden Films Anwendung finden kann. Ergibt auch das deutsche Recht, dass Bud Fox sich des Insiderhandels und der Beteiligung an Marktmanipulation strafbar gemacht hat? Die in dieser Seminararbeit vorgestellten Normen sind geltende Rechte in Deutschland zum Stand Juni 2016 und somit suggeriert der Autor eine hypothetische Anwendung auf die Handlung des Films. Der Fokus liegt dabei auf zwei ausgewählten Themen: Insiderrecht und Marktmanipulation. Das Gesetz über den Wertpapierhandel dient hierbei als einschlägige Gesetzesgrundlage. Der Autor zeigt zuerst die Grundlagen von Insiderrecht und Marktmanipulation auf und nimmt danach einen kurzen Transfer auf die Handlung des Films vor. Die aktuelle deutsche Rechtslage im Dezember 2017 ist bewusst nicht thematisiert, weil der Autor nicht auf ausreichend Literatur zum neuen Recht zugreifen konnte.

With the support of case-laws and the commentary by critics, it will be demonstrated that besides Prests’ efforts, it has failed in its’ aims of providing clarity to the law. The following arguments will be discussed: veil piercing as the remedy of last resort and corporate veil is just a label of an existent principle. Furthermore, the dichotomy introduced by Lord Sumption in evasion and concealment, with support of case laws.

It exposes the inadequacy of the legal and institutional framework as the root of all other challenges experienced in the enforcement of county laws in Kenya. These challenges include lack of capacity for the enforcement of county laws by the counties, corruption menace, lack of a uniform code of conduct for county askaris, the novelty of devolution to county askaris and the general public and the lack of county courts to resolve disputes involving counties and enforce county laws. Proposals for addressing these challenges are given stressing on the need to enact legislation to provide for the legal and institutional framework for the enforcement of county laws in Kenya. This is important because one of the ways through which the objects of devolution can be achieved in Kenya is through the effective and efficient enforcement of county laws and regulations.Kenya adopted a new Constitution on 27th August 2010 with devolution1 being one of its most transformative aspects. Devolution was a good solution to the problems of marginalization, inadequate service delivery and regional disparities in development which was associated with the highly centralized system of government. With devolution, two levels of government were created: national and county governments.

Constitutional and Legal Framework for the Enforcement of County Laws in Kenya. Challenges and Proposals

Answering questions like; Does the common law doctrine of economic duress make courts, not legislators, aribrators of commercial morality. Further, does this inject uncertainty in contract law? Where do judges decide on what is legitimate commercial pressure in hard cases?  I further argue that a legislator should establish the foundations of an absolute test for judges, following the civil law system - to promote efficient and cost effective justice . Put simply - with clear rules, the ability to appeal is reduced.

The "Regency Villas" case further complicated the understanding of these conditions, particularly the requirement that an easement must "accommodate the dominant tenement". Traditionally, this meant that the right must benefit the land itself rather than the landowner personally. Regency Villas challenged this interpretation by asserting that an easement must offer utility and benefit rather than mere recreation and amusement. This development has sparked debate among legal scholars about the potential erosion of traditional constraints on easements. This paper critically examines the traditional constraints on easements, the implications of the Regency Villas decision, and its impact on the future of easement law.

The predominance of bilateral investment treaties in investment relations raises various problems about the linkages between investment and non-investment treaties. In such situations, no investment tribunal has exonerated a party from its investment duties, nor has it considerably lowered the amount of compensation to be paid to the damaged party.In the formative phase of international investment law, particularly in the oil concession arbitrations and in the pre-BIT era, general principles of law played an important role (such as in the Iran-US Claims Tribunal). According to recent empirical investigations, they are mainly ignored by today's arbitral tribunals. The intrinsic ambiguity of this source of law may explain the relative insignificance of general rules in contemporary investment jurisprudence.Article 53 of the Vienna Convention, which deals with jus cogens, and Article 103 of the United Nations Charter, which deals with the primacy of the Charter's duties over investment treaties, Although writers' writings are considered a "secondary" source of international law, investment courts frequently consult them. Unlike the International Court of Justice, the World Trade Organization Appellate Body, and the European Court of Human Rights, which seldom resort to writers' opinions, investment arbitrators usually refer to scholarly literatureIn this chapter, we examine the distinctive features of the sources of international investment law and how they relate to relationships between host states and foreign investors. Article 38 of the International Court of Justice's Statute of Justice defines the list of sources of general international law. As discussed in this chapter, not all rules of public international law are relevant to relationships with host states or foreign investor.

Dabei liegt der Fokus auf dem grundlegenden Inhalt und der Bedeutung des Übereinkommens für das internationale Schiedsverfahrensrecht. Des Weiteren versucht diese Arbeit einen Ausblick und Handlungsempfehlungen in Bezug auf internationale Schiedsverfahren zu geben. 

Die zunehmende Vernetzung der Weltwirtschaft aufgrund der Globalisierung resultiert in einer erhöhten Relevanz von Verträgen mit internationalem Bezug. 
Damit einhergehend steigt die Anzahl von Rechtsstreitigkeiten, die ebenfalls einen Auslandsbezug aufweisen. Schiedsverfahren ermöglichen den Parteien eine Alternative zur staatlichen Gerichtsbarkeit zu wählen und ihre Konflikte mithilfe nichtstaatlicher Rechtsprechung beizulegen.

Fachbuch aus dem Jahr 2022 im Fachbereich Jura - Andere Rechtssysteme, Rechtsvergleichung, Note: 2, , Sprache: Deutsch, Abstract: Durch den Vergleich von § 254 BGB mit § 26 des chinesischen Deliktsgesetzes analysiert und demonstriert die Autorin die Verfassung und Anwendung des gemeinsamen Verschuldens des Geschädigten in China aus rechtsdogmatischer Sicht, insbesondere die Anwendung in der gefährlichen Haftung. Die Autorin argumentiert, dass die Doktrin des Mitverschuldens in China auf dem Grundsatz von Treu und Glauben und dem daraus abgeleiteten Estoppel basieren sollte. Gegebenenfalls sollte es die Risikogesellschaft als Stützpunkt nehmen und eine einheitliche Methode zur Aufteilung der Verantwortung aufbauen, indem es die Risikofaktoren beider Beteiligten abwägt und addiert. Durch die Vorstellung der „relevanten Begriffe“ in Kapitel B lässt sich erkennen, dass der Begriff des Verschuldens des Geschädigten in der chinesischen Rechtswissenschaft durch die Rechtstheorie verschiedener Länder zu verschiedenen Zeiten beeinflusst wurde. In diesem Kapitel sind auch die Begriffe bezüglich der Anwendung des Verschuldens des Geschädigten im Bereich der Gefährdungshaftung miteinander zu vergleichen und abzugrenzen. „Die Entwicklung der einschlägigen Gesetzgebung in der VR China“ wird in Kapitel C erklärt, um die chinesische gesetzliche Grundlage für die Anwendung des Verschuldens des Geschädigten, besonders im Bereich der Gefährdungshaftung, darzustellen und den Widerspruch der Inhalte sowie die Probleme der Struktur der bezüglichen Rechtsnormen darzulegen. Danach werden „dogmatische Unterlagen des Verschuldens des Geschädigten“ in Kapitel D erörtert, um die theoretischen Grundsätze des Verschuldens des Geschädigten zugrunde zu legen. Anschließend sind die „Voraussetzungen für die Zurechnung der Verantwortung des Geschädigten“ in Kapitel E zu besprechen. In Kapitel F „Rechtsfolge des Verschuldens des Geschädigten“ sind die konkreten Methoden und Maßstäbe für die Verantwortungsverteilung zwischen den Beteiligten zu erörtern. Schließlich sind in Kapitel G „Konkrete Anwendung des Verschuldens des Geschädigten im Bereich der Gefährdungshaftung“ hauptsächlich die einschlägigen gesetzlichen Bestimmungen über Verschulden des Geschädigten im Bereich der Gefährdungshaftung in den chinesischen Gesetzen aufgrund von der oben dargestellten Untersuchung dogmatisch und systematisch auszulegen.

Academic Paper from the year 2019 in the subject Law - Comparative Legal Systems, Comparative Law, grade: 1,4, University of Passau, course: US Constitutional Law, language: English, abstract: This paper intends to prove the hypothesis that the (over)use of executive powers undermines the long-term confidence in the institution of the president, as well as usurping the legislative branch incorporated by the U.S. Congress and dramatically shatters the system of checks and balances. On January 25, 2017, Trump signed an executive order, entitled "Border Security and Immigration Enforcement Improvements", aiming at enhancing the enforcement of border security along the US-Mexican border by way of the construction of a 2,000-mile border wall. After losing a fight with the Democratic-led House concerning the identified expenses of 8.1 billion for the wall, President Trump declared on February 15, 2019, a national emergency concerning the situation on the southern border of the United States under the National Emergency Act (NEA). By doing so, President Trump could have eventually undermined the legislative branch, as Congress traditionally holds the power of the purse. On ground of potential infringement of the Appropriations Clause of the Constitution and the Administrative Procedure Act (APA), the Congress passed a joint resolution to void the President’s National Emergency Declaration, which was however vetoed by the President himself. The issue with the construction of the US-Mexican border wall is deeply rooted in the power struggle of both the executive branch (the president, including his subordinate institutions from the government, most notably the White House and the Cabinet) and the legislative branch (the two chambers of the Congress, the House of Representatives and the Senate). This emergency declaration could have infringed one of the basic principles of the separation of powers as manifested and practised in the US constitutional law, enabling the president to act independently, ultimately disregarding constitutional allocation on funding matters, as in the prevailing case.
