Die Darstellung folgt dem bewährten Aufbau der NomosLehrbuch-Reihe: Ausgehend von den Grundlagen des Unionsrechts werden die primärrechtlichen Gewährleistungen - insbesondere die Niederlassungs- und Kapitalverkehrsfreiheit - präzise herausgearbeitet. Daran anschließend erläutert das Werk die wichtigsten Richtlinien und Verordnungen, die das Gesellschaftsrecht der Mitgliedstaaten prägen.
Ein eigener Teil widmet sich den europäischen Gesellschaftsformen wie der Europäischen Aktiengesellschaft (SE), der Europäischen wirtschaftlichen Interessenvereinigung (EWIV) oder der Europäischen Genossenschaft (SCE). Dabei werden die zentralen Regelungsmechanismen ebenso behandelt wie aktuelle Entwicklungen zu grenzüberschreitenden Umwandlungen und zur Mitbestimmung.
