L'optimisation fiscale en 2025 pour les entreprises

Payer le moins d'impôts et taxes possible, tel est le sens de l'optimisation fiscale. Cette démarche n'est pas réservée qu'aux seules multinationales qui défraient régulièrement l'actualité. Elle est à la portée de toutes les entreprises même les plus modestes. Point n'est nécessaire de concevoir forcément des montages juridiques sophistiqués. Il suffit souvent de revenir aux fondamentaux : maximiser les charges déductibles, minimiser les recettes et les bénéfices imposables, utiliser toutes les opportunités de défiscalisation offertes par l'Etat, privilégier une approche globale des situations fiscales de l'entreprise et de son dirigeant, sur le plan du bénéfice, des rêvenus, du patrimoine. C'est tout l'objet de cet ouvrage d'aider les professionnels à détecter les leviers d'action à leur disposition et prendre les décisions les moins onéreuses fiscalement, voire, en quelque sorte, de tendre vers une évasion fiscale totalement légale.</p>

Immer mehr deutsche Unternehmen machen von der Konzernöffnungsklausel des § 292a HGB, welcher börsennotierten Mutterunternehmen den befreienden Konzernabschluss nach den international anerkannten Rechnungslegungslegungsstandards US-GAAP und IAS erlaubt, Gebrauch. Diese Arbeit beschäftigt sich mit der Behandlung latenter Steuern nach dem deutschen Handelsgesetzbuch und zeigt im Anschluss daran die wesentlichen Unterschiede zwischen diesem und der Behandlung von „deferred taxes“ nach US-GAAP auf. Abschließend werden die herausgearbeiteten Unterschiede nochmals zusammengefasst und hinsichtlich ihrer Aussagefähigkeit für Gläubiger und Investoren untersucht und beurteilt.

100 Years of Tax Reform in Australia

The Artful Aussie Tax Dodger

Lex Fullarton takes a closer look at the three pillars of the sustainable development framework known as the Triple Bottom Line (TBL).  The concept of the TBL is that for a project to be sustainable it must not simply be profitable in economic terms, but it must also benefit society and enhance the natural environment.In the 21st century, the greatest threat to Earth’s natural environment and the population of the planet is the rise of greenhouse gas emissions caused from burning fossil fuel as an energy source.  The rise of GHG emissions has resulted in a rise in the ambient air temperature of the Earth’s atmosphere and is resulting in a significant change in climatic conditions on Earth.Fullarton scrutinizes the problem of getting industry and governments to understand the significance of creating harmony within the TBL. One of the main problems is that partisan politics tends to fragment the factors of the TBL rather than bring them together. Fullarton takes a strong stand in suggesting that taxation systems, which have traditionally been viewed primarily as a means of raising government finance, can be effectively applied to influence industrial and consumer attitudes towards transiting away from polluting fossil-fuel energy sources towards non-polluting renewable energy use.

&lt;p&gt;&lt;/p&gt;&lt;div&gt;&lt;p&gt;This book provides a detailed assessment of current approaches to transfer pricing in the context of small- and middle-sized enterprises (SMEs), including the newest update of Transfer Pricing Guidelines from 10 July 2017. It analyzes the transfer pricing rules for SMEs across the European Union (EU) and explores two alternative approaches as suitable solutions for current transfer pricing issues. The authors evaluate and discuss alternative approaches like Safe Harbour and Common Consolidated Corporate Tax Base (CCCTB). Taking into account the prominent role of SMEs in the European Union’s economy, the book also puts forward policy recommendations to achieve the long-term goals of the EU’s 2020 agenda.&lt;br/&gt;&lt;/p&gt;&lt;/div&gt;

Transfer Pricing in SMEs

Doctoral Thesis / Dissertation from the year 2023 in the subject Law - Tax / Fiscal Law, University of Strasbourg (Centre for International and European Studies), course: European Tax Law, language: English, abstract: The thesis addresses the challenge to compare both the CJEU and the ECtHR case-laws dealing with issues concerning the taxpayers' procedural rights. Those courts faced the same difficulty to guarantee the European taxpayers' rights while neither the EU Founding Treaties, nor the European Convention on Human Rights include stipulations with sheer fiscal purpose. However, despite that apparent mutism, the Convention and EU law turn out today to be fundamental sources in the field of taxation. Similarly to the CJEU, who impelled the Member States to direct taxation "downward harmonisation", the ECtHR set up a constructive case-law, which unveiled fiscal perspectives over stipulations that have not been conceived originally under such conception. The thesis is focused on the contributions both European courts delivered in the field of taxpayers' procedural safeguards and investigates into the existence of a common corpus: all taxation phases are thus covered, regardless of whether it is in the stage of tax base assessment, tax liquidation or tax collection, but as well and mostly so regarding the administrative oversight and prospective sanctions that could result from. The thesis overpasses its initial scope in order to examine legal tools and reasoning patterns European justices in both courts have put in place in order to give rise to taxpayers' real procedural safeguards.

The Contributions of the CJEU and the ECtHR in the Field of Taxpayers' Procedural Safeguards

In The Artful Aussie Tax Dodger Lex Fullarton studies the impact of 100 years of taxation legislation in Australia 1915–2016.  He finds that despite the lessons of a century of actions and reactions of taxpayers and administrators little changes—despite entering a new century old habits are hard to break.

At Federation on January 1, 1901, the Commonwealth of Australia was empowered to impose income tax on its citizens. However, it was not until September 3, 1915 that it began a century of ‘tax reform’ when its first Income Tax Assessment Act was introduced. For 100 years, driven by the winds of various political and social interests, Australia ‘reviewed and reformed’ its tax legislation.  Fullarton studies that transformation.

Fullarton’s examination considers the oldest of tax planning entities—the British Trust (‘received‘ in Australia at colonisation)—, the introduction of Australia’s ‘reformed‘ consumption tax—its VAT, referred to as Goods and Services Tax (GST) in Australia—, an analysis of tax avoidance schemes, and finally government taxation reform activities over the century.

Fullarton notes that, just one year into a new century of taxation, the Australian Federal Government put forward a proposal to go forward to the past by repealing certain sections of the Income Tax Assessment Act and transferring Income Taxing powers back to the Australian States, a position which existed prior to 1936.

This book looks at how Australia’s tax legislation was grounded, added to, avoided, and evolved, until it went ‘Back to the Future’. It is a collection of studies compiled from a rich mosaic of experience and research conducted over 20 years of involvement in taxation law in rural and remote Australia.
