&lt;p&gt;Dieses Buch zeigt auf, welche Herausforderungen die hochkomplexe ESG-Regulierung an die Kommunikation von Unternehmen stellt – und wie diese gemeistert werden können. Mit Beginn des Jahres 2024 werden die Anforderungen an die Umwelt-, Sozial- und Governance-Berichterstattung deutlich erhöht. Die Corporate Sustainability Due Diligence Directive (CSDDD oder CS3D) der EU verlangt von mehr Unternehmen aller Größen detaillierte Erklärungen zur Vereinbarkeit des Geschäftsmodells mit ESG-Standards.&lt;/p&gt;&lt;p&gt;Diese neue Ära der Unternehmensberichterstattung muss von Experten aus der Unternehmenskommunikation, der Kapitalmarktkommunikation und dem Rechnungswesen gemeinsam angegangen werden, um die Überzeugungskraft, die Reichweite und das krisenfeste Narrativ der ESG-Berichterstattung zu stärken. Die Autoren erläutern, welche Aspekte und Perspektiven hierbei besonders entscheidend sind und wie Unternehmensverantwortliche ihr Reden und Handeln immer wieder neu gewichten und austarieren können.&lt;/p&gt;

Mit der zum 1. Januar 2013 in Kraft getretenen MaRisk-Novelle wurden in Deutschland erstmals konkrete Vorgaben für eine sogenannte MaRisk-Compliance-Funktion aufgestellt, die Teil des internen Kontrollsystems ist. Die MaRisk-Compliance-Funktion hat vor allem die Aufgabe, Risiken entgegenzuwirken, die sich aus einer Nichteinhaltung rechtlicher Regelungen und Vorgaben ergeben können und die Geschäftsleitung eines Instituts bei der Implementierung entsprechender Vorschriften zu unterstützen. Durch die 7. MaRisk-Novelle vom 29. Juni 2023 wurden die Vorgaben zur MaRisk-Compliance erneut angepasst und modifiziert.

Das vorliegende Werk stellt systematisch geordnet die einzelnen Facetten der MaRisk-Compliance-Funktion dar und kann somit einerseits dem erfahrenen MaRisk-Compliance-Beauftragten als Nachschlagewerk dienen, eignet sich jedoch andererseits auch gerade als erste Übersicht für Neueinsteiger in diese Position und die Thematik. Daneben wird der aktuelle Stand der wesentlichen regulatorischen Anforderungen für den Bereich MaRisk-Compliance zum Zeitpunkt der Veröffentlichung abgebildet.

Neben einer Beschreibung der rechtlichen Basis der Regelungen wird vor allem auf Aufgaben, Befugnisse und organisatorische Ansiedlung der MaRisk-Compliance-Funktion sowie Möglichkeiten der Auslagerung eingegangen. Wo immer möglich werden dabei auch praktische Erfahrungen mit der Funktion aus den vergangenen Jahren eingearbeitet und die Arbeitshilfen, die im Verbund zur Verfügung stehen, beschrieben. Kernanliegen muss es dabei gerade im Hinblick auf die kleinen und mittleren Genossenschaftsbanken sein, das Proportionalitätsprinzip in den Vordergrund zu stellen und nicht alles, was technisch möglich und bei großen Instituten vielleicht auch angezeigt ist, als für alle Institute maßgebliche Best Practices heranzuziehen.
