Antitrust in the Decentralized Economy

DeFi, Central Bank Digital Currencies, and Blockchain

Antitrust and competition laws are government regulations that seek to encourage competition by limiting the market power of firms. Some degree of monopolistic or market power has long been a feature of our economies and is most recognisable today through the activities of companies such as Google, Amazon, Meta, Microsoft and Apple. The concept of market power remains a central idea in fields such as industrial organization, the economics of regulation, competition law and competition policy, yet there is still much debate about how to define it and how to measure it. Antitrust and Competition Policy suggests a new approach for identifying market power and building on it sets out, for the first time, a sound, comprehensive economic foundation for competition law and policy. This framework sheds new light on a range of antitrust violations including the discernment of anti-competitive mergers, abusive practices and restrictive agreements.

Contemporary Studies in Corporate Law

This book provides histories of company law, uniting a variety of approaches from law, business and management, economics, and history. What were the origins of company law? How did it begin? Why did it change? There is no single answer to these questions. Each discipline, and sub-discipline, has a different approach and method that brings different facets of study to the fore. This multidisciplinary endeavour is immensely valuable for debates taking place now among policy-makers in the UK and US about returning to historic modes of company regulation. The book brings together Anglo-American scholarship that will not only shed greater light on the history of company law but also influence contemporary debates about our ability to return to, or learn from, the past. Historical research has great value here because it not only generates new insights into the evolution of present legal rules, but also corrects misunderstandings and misapprehensions about them. The book shows how this body of law developed to become the rules with which we are now familiar. It showcases antecedents of present debates, reveals regulatory lessons from previous legal regimes, identifies instances of path dependency, unpicks pivotal legal events, and explains drivers for legal change. The chapters re-evaluate the history of company law, and the knowledge gathered here will inform the law-making and policy-making agenda.

Mert Kilic provides a comprehensive analysis of the de lege lata regulation of algorithmic trading. He examines the origins, objectives, and systematic structure of the applicable legal provisions and evaluates their legal and practical effectiveness. The central guiding question is whether the current regulatory framework is both practicable and legally sufficiently precise. Beginning with the historical development of algorithmic trading, the study discusses the legislative motives and the legal-political justification for its regulation. The author defines the legal nature of the relevant provisions and explores how the concept of algorithmic trading is legally framed. In doing so, he examines whether the de lege lata definition encompasses trading via brokers, over-the-counter (OTC) transactions, or manually initiated orders, and how algorithmic trading is to be distinguished from the more specific category of high-frequency trading.
 

 As part of the analysis of existing obligations for algorithmic trading firms, potential avenues for circumvention, enforcement deficiencies, and future developments are also identified. Furthermore, the supervisory and civil law consequences of regulatory violations are presented, with particular attention to liability issues arising from damages or system disruptions. Kilic also draws a comparative analysis with U.S. regulation in order to highlight differences and identify potential reform impulses for the de lege lata framework. The study concludes with a critical assessment of the current regulation, finding that the need for regulation in algorithmic trading exists only within narrow limits and that the de lege lata framework is in part indeterminate, excessively technical, and ultimately of limited practical suitability.
