Activist Investors in Germany: An Overview

Routledge Studies in Corporate Governance

The relationship between ownership structure and firm performance has been studied extensively in corporate finance and corporate governance literature. Nevertheless, the mediation (path) analysis to examine the issue can be adopted as a new approach to explain why and how ownership structure is related to firm performance and vice versa. This approach calls for full recognition of the roles of agency costs and corporate risk-taking as essential mediating variables in the bi-directional and mediated relationship between ownership structure and firm performance.

Based on the agency theory, corporate risk management theory and accounting for the dynamic endogeneity in the ownership-performance relationship, this book develops two-mediator mediation models, including recursive and non-recursive mediation models, to investigate the ownership structure-firm performance relationship. It is demonstrated that agency costs and corporate risk-taking are the 'missing links' in the ownership structure-firm performance relationship. Hence, this book brings into attention the mediation and dynamic approach to this issue and enhances the knowledge of the mechanisms for improving firm's financial performance.

This book will be of interest to corporate finance, management and economics researchers and policy makers. Post-graduate research students in corporate governance and corporate finance will also find this book beneficial to the application of econometrics into multi-dimensional and complex issues of the firm, including ownership structure, agency problems, corporate risk management and financial performance.

This volume explores the importance of constitutivism for legal studies. Constitutivism is the view that the normative force, or authority, of practical reasons is grounded in principles, capacities, aims, or functions that are essential to, and thus constitutive of, agency. While the implications that the constitutivist approach has on the fundamental metaethical disputes and central ethical debates have been extensively explored, the literature on the relations between constitutivism and law remains scarce, unsystematic, and sporadic. This collection brings together world-renowned practical philosophers and legal theorists to fill a noticeable gap in the literature.         &lt;p&gt;Nachhaltigkeitsthemen erleben eine Renaissance auf der Hauptversammlung, aber welchen Beitrag kann der Aktionär tatsächlich leisten? Die Arbeit untersucht die Aktionärs- und Hauptversammlungsrechte de lege lata auf ihre Bezüge zu Nachhaltigkeitsaspekten und bewertet ihre Effektivität zur Einflussnahme. Es werden die Informations-, Mitsprache-, Personal-, Vergütungs- und Satzungskompetenzen der Aktionäre beleuchtet und aktuelle europäische Gesetzesakte sowie Beispiele aus der Hauptversammlungspraxis in die Untersuchung mit einbezogenen. Auf Basis der Untersuchungsergebnisse wird abschließend der rechtspolitischen Frage nachgegangen, ob sich eine Stärkung der Mitsprache der Hauptversammlung bei der Klimastrategie („Say on Climate“) empfiehlt.&lt;/p&gt;

&lt;p&gt;This book provides a comprehensive overview of the implications of tax avoidance for a firm’s capital structure, highlighting the key role played by free cash flow and agency conflicts. First, the book provides an outline of the theories and empirical evidence concerning the role of taxes in the Theory of Capital Structure. It reviews the studies investigating the relationship between agency conflicts and capital structure. The book explores the role of free cash flow and agency conflicts in the relationship between tax avoidance and capital structure. In the final section, the results of an empirical investigation conducted on a sample of U.S. public firms are also presented. The empirical research examines whether and how tax avoidance is associated with debt covenant violation across the stages of the corporate life cycle. Specifically, the research uses the concept of the corporate life cycle stage to analyse whether and how the association between tax avoidance and debt covenant violation varies in different agency settings. Consistent with the hypotheses drawn on the Agency Theory, the findings of the empirical research suggest life cycle stages moderate the association between tax avoidance and debt covenant violation. &lt;/p&gt;&lt;p&gt;Overall, this book sheds light on the potential implications of tax avoidance activities for a firm’s capital structure. The book will be of interest to both experienced and early-stage scholars interested in the topic. Moreover, the book will also be of interest to policymakers, investors, analysts, lenders, and other market participants.&lt;/p&gt;

        &lt;p&gt;Die Suche nach den richtigen Rechtsregeln für Unternehmensübernahmen in Europa ist eine permanente Kontroverse. Heute gibt es grundlegende Anlässe, eine Reform der im Jahr 2004 erlassenen Übernahmerichtlinie zu diskutieren. Dabei wird auf die Definition; das Konzept der Kontrolle; verschiedene Formen von Eigentümern und allgemeine Auswirkungen der Eigentümerstruktur eingegangen. Das folgende Kapitel befasst sich mit dem strategischen Wandel und enthält Definitionen zum Strategiebegriff sowie des strategischen Wandels; eine Abgrenzung zum Begriff der organisationalen Veränderung; eine Klassifizierung von strategischen Veränderungen; ein Überblick über genutzte Arten von Kennzahlen in der Empirie; eine Einteilung der Ursachen und Einflussfaktoren des strategischen Wandels in drei Perspektiven; ein kurzer Abschnitt zu den Folgen des strategischen Wandels. In Kapitel 3 wird die theoretische Basis vermittelt, mit welchen Mechanismen Eigentümer eines Unternehmens Einfluss auf den strategischen Wandel nehmen können. Hierzu wird zunächst eine Definition zur Corporate Governance geliefert und anschließend die Grundlagen der Prinzipal-Agenten-Theorie (Agency Theory)  behandelt. In Kapitel 3.2 wird auf die spezifischen Lenkungsinstrumente eingegangen, welche Eigentümer nutzen können, um Einfluss auf das Unternehmen auszuüben. Seminar paper from the year 2025 in the subject Business economics - Investment and Finance, grade: 1,7, University of applied sciences, Munich, course: Financial Management, language: English, abstract: This paper examines activist investing in Germany, focusing on its theoretical foundations, key strategies, and market-specific conditions. The agency theory, which explains conflicts between shareholders and management, is a central aspect. The study also analyses core strategies such as proxy fights, public campaigns, and negotiations with management. 

Special attention is given to the challenges posed by Germany’s dual-board system, co-determination laws, and regulatory constraints. The analysis highlights that major shareholders, employee participation, and disclosure requirements limit activist investors. Despite these barriers, the number of campaigns is increasing, with cooperative approaches becoming more relevant. Companies must adapt their governance structures to address activist pressures. 

Diese Arbeit analysiert das Phänomen des aktivistischen Investierens in Deutschland, untersucht dessen theoretische Grundlagen, Hauptstrategien und spezifische Marktbedingungen. Besondere Beachtung findet die Agency-Theorie, die Interessenkonflikte zwischen Aktionären und Unternehmensleitungen erklärt. Zudem werden zentrale Strategien wie Proxy-Fights, öffentliche Kampagnen und Verhandlungen mit dem Management beleuchtet. 

Ein Fokus liegt auf den Herausforderungen des deutschen Systems, insbesondere dem dualen Vorstandsmodell, der Mitbestimmung und regulatorischen Hürden. Die Analyse zeigt, dass Großaktionäre, Mitbestimmungsrechte und Offenlegungspflichten aktivistische Investoren einschränken. Trotz dieser Hürden wächst die Zahl der Kampagnen, wobei kooperative Ansätze an Bedeutung gewinnen. Unternehmen müssen ihre Governance-Strukturen anpassen, um aktivistischen Druck zu begegnen.
