'The Monitoring Board': The thesis analyses the term 'monitoring board' in the law of GmbHs and commercial partnerships. The analysis of the systematisation methodology and organ characteristics enables the differentiation from the optional supervisory board (§ 52 GmbHG) and highlights possible consequences of errors. In addition, the work offers a comprehensive presentation of the legal structure of the monitoring board and the legal-economic contribution of optional supervisory bodies to corporate governance.
