The Significance of Promoters and Enforcability of Pre-Incorporation Contracts

An important characteristic of German civil law system which sets it apart from common law system is the codification of core rules received from Roman law. These codes are drafted in order to cover all relationships within the field of law they govern. The provisions of a code are the references for a great many practical legal problems arise within that field over time. The concept of codification was developed in order to form a base where the laws of a given field can be found in one category – the code – instead of creating many judicial decisions.Beside its general part, German civil code contains other four divisions; the law of obligations, the law of property, the law of family or domestic relations, and the law of inheritance. The whole commercial law falls under the law of obligation regulated by the code. This includes e.g. the law of bills, notes, shipping, insurance, patents, copyrights, trademarks, contracts, and business transactions. This way of codification provides all citizens with a collection of laws they must follow. These laws constitute a systematic written collection of interrelated articles arranged by subject of matter.

Organisations continue to look for ways to increase shareholder value. After they downsize and rightsize, leaders look to maximise the return on their human capital investment. Coaching, when delivered throughout the organisation, has been found to be a particularly effective and powerful means of creating transformational, cultural change. Organisations with a growth mentality use coaching to recognise and unleash the potential of all employees.  The book is an informative source of practical strategies and mechanisms to successfully develop and embed a coaching culture into an organisation. CEOs, senior executives, organisational leaders and HR professionals will benefit from the structured approach to changing organisational thinking and behaving to bring about cultural change. The Enterprising Musician's Legal Toolkit

Fundamentals of private equity investments are reviewed in the second chapter. This includes definition and product categories of private equity and how PE business is organized as well as the history of PE market in Germany. The third chapter analyses the process of the PE deals including the different phases as well as the exit strategies. The last chapter critically analyse the PE deals from the point of view of the investor and the targeted company before closing with the outlook and conclusion.In the last decades, the private equity market in Germany has witnessed waves of rise and fall. But it surpassed, by the end of 2017, all the records of German PE history. According to Deutsche Beteiligungs (DBAG), the amount of transactions in the mid-sized businesses in the German market dramatically increased and hit €4.4 billion in 2017 which was the highest during the last 15 years.  But in contrast, the competition in the German market has been recently high with a steady number of companies which led to high prices and overvalued companies. PE firms target the mid-sized businesses since they are more likely to accept financial investors than bank loans or credit lines. However, this problem can now be countered with the help of PE in the context of alternative corporate financing. It should be noted that PE business has been a concern of German politics and businesses since the 1960s where the financial system was basically based on banks which is not appropriate for the development of PE industry. The government intervention was the base to build a stronger PE industry away from bank-based financial systems. Recently, the stock market segment was a key driver for the dynamic development of PE market. The price falls and the collapse of the overheated and overvalued companies were also clearly felt in the PE segment and generated a great deal over scepticism on the capital markets.

In diesem Werk wird eine Erklärungstheorie aus geographischer, historischer, wirtschaftlicher und politischer Sicht beschrieben, warum die Standorte der meisten Hidden Champions-Unternehmen in Deutschland angesiedelt sind. Im Zusammenhang mit der Logistik werden Hidden Champions-Unternehmen im Güter- und Warenverkehr in Deutschland identifiziert sowie in Luxemburg, insbesondere in der Binnen- und Seeschifffahrt. Die Arbeit enthält Listen von Verbänden und Vereinen im Güter- und Warenverkehr von über 1.000 Mitgliedsunternehmen.

Seminar paper from the year 2024 in the subject Law - Civil / Private / Industrial / Labour, International University of Applied Sciences (IU), language: English, abstract: Die vorliegende Hausarbeit behandelt das Thema der Rechtsquellen im Arbeitsrecht. Dabei erfolgt zunächst eine Kategorisierung und Vorstellung der Rechtsquellen durch die Verdichtung vorhandener Literatur und wissenschaftlicher Arbeiten. Ein Schwerpunkt liegt auf die Normenkonkurrenz, wobei die Normenpyramide und das Günstigkeitsprinzip erläutert werden. Die herausragende Bedeutung des Grundgesetzes im Kontext des Arbeitsrechts wird ebenfalls beleuchtet. Praxisrelevante Beispiele werden herangezogen, um die Ergebnisse der Literaturrecherchen zu untermauern. Abschließend werden die Erkenntnisse sowie die Beispiele in einem Conclusio - also einem Fazit und einem Ausblick - zusammengefasst. Das Ziel besteht darin, dass diese Hausarbeit eine klare Darstellung der Rechtsquellen im Arbeitsrecht liefert und verdeutlicht, in welchem Ausmaß das Arbeitsrecht umfangreich ist.  Ich beginne meine Hausarbeit nunmehr mit einem Zitat eines Online-Artikels des Zeitungsverlags Stern aus dem Jahre 2004: „Paragraphendschungel Deutschland: [Umfrage] Arbeitsrecht entscheidende Jobbremse – Kündigungsschutz schreckt ab!“ (Stern, 2004). Es handelt sich hierbei um eine Befragung von dem Institut der deutschen Wirtschaft an Unternehmen, welche meist das Arbeitsrecht als recht kompliziert und unflexibel in ihren Vorgaben wahrnehmen (Stern, 2004). Das Arbeitsrecht ist heute wie früher wichtig und hat einen großen Einfluss auf die Wirtschaftsunternehmen als Arbeitgeber und natürlich auch auf die Arbeitnehmer. „Das Arbeitsrecht betrifft praktisch jeden. Es regelt die Grundlagen der Existenz und der Lebensumstände. (…) Diese existentielle Situation führt dazu, dass Arbeitsrecht ein besonders ´emotionales Recht´ ist.“ (Podehl, 2017). Die Betrachtung des Arbeitsrechts unter dem Gesichtspunkt des emotionalen Rechts könnte auf diverse Aspekte hinweisen, die die emotionale Dimension von Arbeitsbeziehungen, Arbeitsbedingungen oder arbeitsrechtliche Fragestellungen berühren. Mögliche Ansätze wären beispielsweise die Arbeitsbedingungen und das Wohlbefinden, die Diskriminierung und die Gleichbehandlung, Kündigungen und emotionale Belastungen, Interaktionen am Arbeitsplatz sowie arbeitsrechtliche Mediation und Konfliktlösung. Das emotionale Recht, wie beschrieben, ist gekoppelt mit gesetzlichen Grundlagen, Arbeitsverträge, Tarifverträge, internationale Übereinkommen und der deutschen Rechtsprechung. [...]
