Previously known as Drafting Agreements in the Biotechnology and Pharmaceutical Industries, this title provides precedent agreements for the main types of commercial transaction encountered in the life sciences, biotechnology and pharmaceutical industries. This volume contains all the papers presented during the working session of the Section for Comparative Commercial and Business Law at the 39th Conference of the German Society for Comparative Law in Berlin. Today, the European Union (EU) and the Organisation pour l'harmonisation en Afrique du droit des affaires (OHADA) are the two most integrated supranational organisations in the world. On the one hand, OHADA was institutionally modelled on the EU. But on the other hand, based on an essentially French legal tradition, OHADA was able to go much further in the unification of commercial law, as evidenced by meanwhile eleven Uniform Acts relating to principally all aspects of commercial law. 140 years after the beginning of the so-called Berlin Conference concerning the Scramble for Africa this comparative approach also reflects the paradigm shift in the relationship between Europe and Africa.

It examines how theorists positioned outside international law's Western centre developed sophisticated frameworks to address tensions between Western modernity and their own experiences. The book's central contribution proposes 'conversation'--continuous engagement that respects differences between legal traditions--as an alternative to 'dialogue', which often reproduces existing hierarchies by assuming all perspectives can be reconciled. It is part of the self-image of liberal democracies to critically examine their own historical actions. Document editions represent an important contribution to the preservation and exploration of our societies' historical heritage, to the documentary traceability and transparency of political processes, and - through further publications - to historical enlightenment and political education. The first series of Foreign Policy Documents of the Republic of Austria 1918-1938 (ADÖ-I), initiated in 1990 by Arnold Suppan with Klaus Koch and Walter Rauscher, was completed in 2016; the 12 volumes are now also available online. This first volume marks the beginning of the second series of Foreign Policy Documents of the Republic of Austria (ADÖ-II), which covers the period after the Second World War. The volume comprises 312 documents from the archives of the Federal Ministry for European and International Affairs and the Austrian State Archives in a text-critical and scholarly edition, including an introduction and index. It documents the period from mid-April 1945 to the end of May 1947. The volume focuses on the re-establishment of the Republic after liberation from National Socialism, the restoration of relations with foreign countries, particularly with the four occupying and controlling powers, the safeguarding of food supplies and the territorial integrity of the country, the struggle for South Tyrol's self-determination, and the regaining of full state sovereignty through a treaty. The volume concludes with the transitional phase between the failure of the Moscow Foreign Ministers' Conference on April 24, 1947, and the announcement of the US aid program for Europe, the Marshall Plan, on June 5.

This book examines the World Trade Organisation (WTO) Dispute Settlement Understanding (DSU) from the perspective of the world's Least Developed Countries (LDCs).Ensuring predictability and stability in the rules-based international trading system requires the DSU to be accessible, efficient, reliable, and able to redress imbalances. Since the 1990s, the DSU has been the subject of review, and this book charts and explores these ongoing negotiations from the perspective of LDCs. The inability of the LDCs to fully utilise the DSU reduces their ability to redress imbalances and, by extension, their ability to fully engage in international trade and promote economic growth. This book explores the issues behind LDCs' difficulty in engaging with the DSU, with only one dispute having been brought. This book tackles the challenge of holdout creditor disruption of sovereign debt restructuring, where creditors reject collective agreements to pursue full loan recovery in domestic courts.Critically examining the contemporary statutory and contractual approaches to sovereign debt restructuring, the book presents their usefulness and limitations, including the potential major impact of the doctrine of merger in rem judicatam. It proposes the duty of good faith (which is generally implied under U.S law, implied in certain categories of contract under English law, and widely recognized globally) applied in the context of sovereign debt as a relational contract, as a robust legal approach to combating such disruptions in domestic courts. Through rigorous analysis of case law and treatises, the book argues that sovereign debt contracts are relational contracts, invoking heightened good faith and equity obligations.
