Ongoing technological change increases the likelihood of algorithm-based personalization of consumer prices, which is, however, associated with new risks for consumers. Jakob Metzger approaches this phenomenon by first analyzing the socio-economic effects of such pricing models and, on that basis, developing an independent legal definition of personalized prices. This is followed by a systematic examination of the existing legal framework, in which the inclusion of all relevant areas of law - among them consumer law, competition law, and unfair competition law, but also the law of the networked society - allows for a holistic assessment and reveals existing regulatory shortcomings. The author ultimately addresses these deficiencies by comparatively and critically assessing potential regulatory options. The focus lies on the further development of existing information obligations, while more far-reaching regulatory measures are also discussed, such as the establishment of a market price transparency authority, the introduction of a reference price requirement, or the imposition of a specific tax on personalized prices.

He has held visiting professorships at universities across Europe, including Roma La Sapienza, Humboldt-Universität zu Berlin, SciencesPo Paris, and the Sorbonne. He served as the United Nations Président-rapporteur on Arbitrary Detention (2013–2015) and was appointed Honorary Queen’s Counsel (now King’s Counsel) in 2019 for his distinguished contributions to comparative, international, and European law.
Valerio Lemma is Professor of Law and Economics at Guglielmo Marconi University of Rome, Italy. He coordinates a masters programme on financial market regulation at Luiss University of Rome, Italy and serves on the European Securities and Markets Authority (ESMA) Asset Management Standing Committee Consulting Work Group. With a background in law and economics, he is also associated with an international law firm.

Das Werk ist erstmals im Jahr 2014 unter dem Titel «Grundriss des schweizerischen Kollektivanlagenrechts» erschienen. Die stark überarbeitete und erweiterte Neuauflage soll die zahlreichen Entwicklungen nachzeichnen, die seither stattgefunden haben. Im Vordergrund steht die fundamentale Neuordnung des Schweizer Kollektivanlagerechts durch die Einführung der Erlasse FINIG und FIDLEG sowie andere relevante Neuerungen der letzten Jahre. The cause of the polarized debate surrounding the principle of 
 nemo tenetur
 lies in the continuing disagreement over its rationale. The principle is not merely a derivative of human dignity; as a constituent guarantee of Article 6(1) ECHR it also safeguards the individual' s autonomous participation in the proceedings. The person concerned must be free to determine their procedural conduct - including their procedural contributions. In this procedural protective dimension, the principle constitutes an indispensable condition for the legitimacy of punitive measures. 
 

 This procedural power extends to all evidence under the control of the person concerned. The principle of 
 nemo tenetur
 protects the individual as a bearer of knowledge. As a procedural principle, it applies equally to undertakings. In practice, its protection is effective for undertakings only if all employees are able to invoke it. However, only knowledge acquired in the course of business operations is protected. The principle is infringed by any form of pressure to cooperate, including incentives unrelated to punitive purposes. It applies absolutely; its protective purpose is incompatible with any balancing exercise. 
 

 German and EU antitrust procedural law do not do justice to the principle of 
 nemo tenetur
 . The protection afforded to undertakings, which is designed merely as a freedom from confession, falls short of the level of protection required. In addition, there are deficiencies in the concrete design of procedural safeguards, in particular with regard to the use of non-prosecution agreements. The incentive effects of leniency and settlement regimes likewise give rise to conflicts with the principle of 
 nemo tenetur
 .

Nemo tenetur im Kartellverfahren

Aktionärs- und Investoraktivismus ist ein zentraler Risikofaktor für börsennotierte Unternehmen. Während sich die diesbezügliche wissenschaftliche Diskussion bislang fast ausschließlich auf die Aktiengesellschaft (AG) konzentriert hat, rückt mit der Kommanditgesellschaft auf Aktien (KGaA) eine hybride und damit besonders komplexe Rechtsform in den Fokus, die als Mischform aus Aktiengesellschaft und Personengesellschaft eigene Governance-Besonderheiten aufweist. Das Werk greift dieses praxisrelevante Thema auf, das in diesem Zuschnitt bislang nicht monographisch untersucht wurde, und überführt den aktienrechtlichen Diskurs zur AG systematisch in die KGaA.

Erstmals wird untersucht, ob und in welchem Umfang die KGaA Ziel von Leerverkaufs- und operativem Aktivismus ist und sein kann. Gestützt auf eine rechtstatsächliche Auswertung der börsennotierten KGaA bietet sie einen prägnanten Überblick über Gesellschafterstrukturen und gelebte Governance-Varianten. Zudem analysiert sie, welche strukturellen Schwächen Aktivisten identifizieren und nutzen könnten und welche Gestaltungs- und Abwehrmöglichkeiten einer KGaA zur Verfügung stehen.

Es zeigt sich, dass die KGaA weder pauschal schutzlos noch zwangsläufig widerstandsfähiger ist als die AG, sondern eine eigenständige Aktivismusdynamik aufweist. Das Werk schließt damit eine Forschungslücke, leistet einen Beitrag zum Rechtsformenvergleich zwischen AG und KGaA und bietet zugleich eine belastbare Grundlage für die rechtliche Einordnung und strategische Bewertung aktivistischer Kampagnen in der Praxis.

Die Kommanditgesellschaft auf Aktien als Ziel aktivistischer Aktionäre und Investoren

Carmen Freyler's study deals with the relationship between the law of commercial transactions based on the concept of a merchant and the law of contractual obligations, which is linked to the concept of an entrepreneur. The uniformity is not a finding, but the aim of the investigation. Neither the conditions of application nor the statutory system indicate a harmonisation of the two relevant regulatory complexes of entrepreneurial business transactions. Conflicts of norms and contradictions in judgement arise, particularly with regard to consumer protection law.
