Sustainability, Shareholder Value, and European Company Law

This book analyses recent developments in English corporate restructuring law from a range of comparative and theoretical perspectives, exploring some of the most difficult aspects of the design of domestic restructuring laws and their application in cross-border cases. Recent reforms to English law took place against the backdrop of corporate restructuring law reform initiatives in Europe and in many other regions of the world. These reforms reflect an emerging consensus as to the importance of such laws, both as a complement to macroeconomic stabilisation tools in times of extraordinary crisis, and as a determinant of investment conditions in more ordinary times. But it is one thing to recognise the importance of such laws in the abstract, and quite another to work out precisely how corporate restructuring rules should be designed. This book explores some of the most complex aspects of designing such rules. It does so through the close analysis of the changes made by the enactment of the Corporate Insolvency and Governance Act 2020 (UK), and the interpretation of the new statutory provisions by the courts. Authors also draw on examples from other jurisdictions to analyse choices made in the UK, and in some cases offer separate evaluation of restructuring law reform processes outside the UK, including in select jurisdictions in the EU and in Africa, and in the US. By drawing on experiences in other jurisdictions, the book casts new light on recent developments in English law, suggesting many avenues for further research and a range of implications for policymakers. An introductory chapter by the editors introducing the landmark 2020 reforms provides a detailed synopsis of each chapter of the book, drawing out connections between them, and articulates some themes that run through the chapters that are salient for policymakers.

This book argues that the pursuit of universal norms remains a worthwhile endeavour for the international legal discipline. It does this while also engaging with the very active imperialist critique of such norms. The study has 4 aims; firstly to illustrate the role that the idea and debate around norms have in developing international law, and secondly to address the philosophical concerns around identifying such norms. It moves on to explore whether a legal/practical instantiation of the universal can be done without taking a particular position/perspective. And finally, it turns to the impact the universal has on the development of international human rights law. Public international law, human rights and legal philosophy scholars will welcome this original theoretical-philosophical perspective on an enduring debate in the field of international law.

International Law and the Pursuit of Universal Norms

This open access book brings together leading European labour law scholars to explore how workers' representatives' rights are evolving in the context of the digital transformation of work. Rooted in EU and national legal frameworks, the book examines how information and consultation (I&amp;C) rights must adapt to the challenges posed by platform work, algorithmic management, cross-border telework, and digitalisation more broadly. Structured around 4 key themes-Who is entitled to I&amp;C rights; Where these rights apply in transnational and virtual workplaces; How they are exercised in the context of AI, occupational safety, and industrial democracy; and What new rights are emerging in response to digital risks-the book offers a comprehensive and comparative analysis of labour law in the digital age. It pays particular attention to the role of workers' representatives in shaping and implementing emerging rights such as the right to disconnect. Drawing on the findings of the DIGILARE research project (EU grant 101126503), the volume provides actionable legal and policy insights for EU institutions, national lawmakers, social partners, and practitioners. It proposes reforms to strengthen democratic participation, enhance transparency in algorithmic decision-making, and safeguard workers' autonomy in increasingly fragmented and remote work environments. This book examines the structural tensions at the heart of European economic governance and their impact on European democracy. It argues that lasting legitimacy and stability require a fundamental rethinking of how collective resources are raised and managed at supranational level and how Member States are accounted for fiscal discipline. The separation of monetary authority and economic decision-making, entrenched since the Maastricht Treaty, has generated a system marked by competence asymmetry, mutual economic and financial dependence of both the EU and Member States, constrained national policy space, and indirect democratic control. Drawing on law, economics, and political science, the book develops a comparative institutional analysis of how political, market, and judicial processes have shaped responses to financial crises, sovereign distress, pandemic and geopolitical-era interventions. It shows how the growing reliance on top-down rules, provision of financial assistance, and judicial restraint has altered relationships between institutions, governments, and individuals, with significant consequences for legitimacy and accountability. Rather than defending incremental adjustment, the book advances a normative and institutional alternative. It proposes a framework in which collective decision-making is supported by transparent financial contribution by individuals, and where responsibility for economic choices is matched by meaningful consequences at different levels of governance. Central to this vision is a rebalancing between shared fiscal capacity and decentralised responsibility, primarily by market-based mechanisms to address sovereign distress. By linking goal selection to institutional choice, the book offers a coherent roadmap for reform that prioritises ongoing involvement of EU citizens, more effective Member State fiscal accountability, and mutual independence. It will be of particular interest to scholars of public law, economic governance, and constitutional change, as well as policymakers seeking sustainable models for managing complex, multi-level political systems.

This book explores the major theories of common law adjudication and presents a new theory of adjudication. It shows that the existing major theories of common law adjudication each capture only part of what occurs in actual court proceedings. It presents a new theory of adjudication that incorporates both useful and modified elements of these theories. The new theory itself comprises two parts: first, an attitudinal aspect based on institutional values; and second, a number of practical and theoretical factors which give concrete expression to those values. Throughout the book, the author draws on his prior experience both as a law professor and as a judge in his country's highest appellate court in order to provide a unique perspective that illustrates this new theory.

This book is the first comprehensive academic treatment of the International Covenant on Economic, Social and Cultural Rights (ICESCR) and employment rights, which has a global vocation demonstrated by having been ratified by 173 States since it was adopted in 1966. Workers' rights need protection and reinforcement. To achieve this aim, international human rights standards can play an important role. The ICESCR is the most important global UN instrument in this respect. It covers a wide range of employment rights, including the right to strike, and has global application. But it is not sufficiently developed and used, and national implementation often needs improvement. Part 1 of the book analyses general issues related to the Covenant, such as context, development, challenges, influences at the global and regional levels, interpretation and procedural elements. Part 2 deals with the specific provisions which are directly linked to the employment relation. The book is based on a thorough analysis, mainly, but not exclusively, of the case law of the Committee on Economic, Social and Cultural Rights (CESCR), that is monitoring the national implementation of the Covenant. Together, the chapters in this book will empower academics and practitioners in labour law to find answers to relevant and practical problems in order to better enforce and improve workers' rights. The book is the result of a project by the 'Transnational Trade Union Rights' experts Network (TTUR), linked to the European Trade Union Institute (ETUI).

This book provides a multi-jurisdictional analysis of the role of law in accelerating the development of floating offshore wind energy. With ongoing technological advancements in the context of the energy transition, floating offshore wind represents a significant advancement in the global transition towards sustainable energy. Debates around the inherent ecological tensions raised by fixed-bottom offshore wind turbines, as well as the value of deeper offshore wind exploration, are considered alongside unanswered questions on the complexity of the marine environment and its governance in relation to the deployment of floating offshore wind energy. Other questions focus on marine spatial planning, licensing and permitting procedures, and the safety of installing and maintaining complex offshore energy infrastructure. Although these issues partially coincide with those related to traditional bottom-fixed installation, the book provides an opportunity to test the extent to which traditional legal and regulatory strategies may or may not be suited to the fast-growing deployment of floating offshore wind energy. Written by experts across multiple jurisdictions where floating projects are being developed, the book unlocks new thinking on regulatory modelling and design at a time when floating wind is expected to resolve the complexity of the Energy Quadrilemma.
