This book focuses on contemporary problems related to fraud and risk in commercial law.

It has been said by some that we are in a 'golden age of fraud'. In part this has been caused by globalisation, technological changes and the financialisation of business. This has resulted in the creation of automated linkages with integrated supply chains and the creation of systemic risks, which have been exacerbated by new forms of intangible assets like tokens and their ease of movement. While regulation has ebbed and flowed given the desire of governments to generate economic growth, as well as the distrust of their coercive powers, the courts have sought to strike a balance between considerations such as commercial certainty and fairness.

The book provides an analysis of key contemporary issues on the theme of fraud and risk in commercial law, including: technology and fraud, secondary liability and 'failure to prevent' economic crime, abuse of business entities, insolvency and creditor protection, injunctions and other orders, cross-border issues, the relationship between regulation and private law, and solutions for policy makers.

Masterarbeit aus dem Jahr 2025 im Fachbereich Jura - Zivilrecht / BGB AT / Schuldrecht / Sachenrecht, Note: 1,3, Hochschule Darmstadt, Sprache: Deutsch, Abstract: Die vorliegende juristische Masterarbeit befasst sich mit der Fragestellung, ob eine Haftung von KI-Robotern national wie international gegeben ist. Dabei wird insbesondere analysiert, welche rechtlichen und praktischen Aspekte bei der Nutzung eines solchen Roboters zu berücksichtigen sind. 

Im Rahmen der juristischen Ausarbeitung erfolgt hierzu ein Rechtsvergleich zwischen Deutschland und den USA, wobei der Fokus auf dem Bundesstaat Kalifornien liegt. Die Arbeit beginnt mit einer technischen Einführung in KI und Robotik. Anschließend wird das eigenständige Handeln von KI-Robotern sowie die Frage ihrer Rechtspersönlichkeit analysiert. Darauf aufbauend werden haftungsrechtliche Herausforderungen de lege lata untersucht, einschließlich vertrags-, delikts- und produkthaftungsrechtlicher Aspekte. Abschließend werden mögliche Lösungen erörtert und ein Fazit gezogen.

Die Entwicklung und Nutzung intelligenter Systeme werfen auch Fragen in Bezug auf die Risiken und Verantwortlichkeiten auf. Sie können unter Umständen Schäden verursachen und auch gegen Rechtsnormen verstoßen, sei es ein Pflegeroboter, der die Patienten suboptimal pflegt oder ein selbstfahrendes Auto, das einen Unfall verursacht. Die Frage, ob die Nutzung von KI-Robotern als gefährlich angesehen wird, ist Gegenstand kontroverser Debatten. Eine von der KOM durchgeführte Studie beleuchtet, dass ein spezifisches Hindernis, das von Unternehmen hinsichtlich der Nutzung von KI wahrgenommen wird, die Haftung für durch KI verursachte Schäden ist.

This book explores the real-world problem of building safety through the lens of private law. The fire at Grenfell Tower, London, England and the collapse of Champlain Towers South, Florida, USA exposed widespread building safety failures globally. Using a variety of different private law perspectives ranging through torts, contract and real property law, international experts examine building safety failures across the UK, USA, Australia, Singapore, New Zealand, Italy and Canada. The book offers policymakers, practitioners, and scholars ground-breaking consideration of this vital yet under-considered aspect of the building safety crisis, along with new and valuable insights into the nature, limits and utility of private law. The collection of essays shows that private law can be part of the solution to - as well as being part of the cause of - the building safety crisis. Consideration is given to existing legislative and judicial responses to the crisis, offering guidance as to how statutory regimes addressing the building safety problem (such as the Building Safety Act 2022) can best be understood and developed. A central lesson is the need to take an integrated, coherent approach, within and beyond private law. The book also illustrates that an understanding of the causes of, and responses to, the building safety crisis is vital to any theory of private law: private law is unable to fulfil its distinctive and crucial role of ordering our relations, one to another, if we adopt an unduly limited view of the reasons and resources available to it. The book results from a joint research project by the Faculty of Law at the University of Oxford and Melbourne Law School at the University of Melbourne.

This book analyses the extent to which the common law can accommodate the new issues arising from the AI revolution, and where legislation may instead be necessary. In doing so, the book takes into account not only doctrinal principles but also conceptual and theoretical foundations of common law. Over the next few decades, the use of AI in commercial and other transactions is likely to be one of the most disruptive influences ever to affect private law. Its impact will be wide and deep, affecting not simply the traditional areas of contract and tort but also agency, trusts, fiduciary relations and a great deal besides. The common law is known to be extremely flexible, and to some extent rules can be organically stretched and manipulated to respond to disruption of this kind. However, there is equally no doubt that such organic development is not enough on its own, and will have to be supplemented by legislative alterations and at times serious changes of thinking. The book therefore discusses how established legal doctrines and principles in private law need to be reconsidered in view of the increasing pervasiveness of intelligent machines capable of taking decisions. The analysis contained in this book provides a key contribution to ongoing debates regarding potential law reform, not only in England and Wales but also in other common law jurisdictions.

This volume brings together leading scholars and practitioners to examine how diverse legal systems - both common law and civil law, national and international - approach the questions of control and ownership of digital assets. The comparative inquiry reveals not only doctrinal differences, but also shared concerns over legal certainty, market efficiency, and the adaptation of traditional legal categories to new technologies. The chapters traverse a wide range of jurisdictions. Contributions from Germany, France, Switzerland, and Australia illustrate how civil law systems grapple with the limitations of traditional doctrines of tangibility. The United States chapter analyzes the introduction of Article 12 to the Uniform Commercial Code, with its creation of "controllable electronic records". The United Kingdom and Brazil chapters demonstrate how common law and hybrid systems have sought to adapt flexible doctrines to novel technical architectures. The Hong Kong and Singapore chapters show how Asian common law jurisdictions combine pragmatic judicial reasoning with increasingly granular regulatory oversight. The Mexico chapter highlights how pioneering statutory definitions-such as those in the 2018 Fintech Act-proved both innovative and unduly narrow, creating gaps in the classification of assets under private law. The Taiwan chapter examines the courts' characterization of virtual assets as "movable things," while suggesting a shift toward a ledger-based model of public notice. Finally, the chapter on UNIDROIT's Digital Assets and Private Law Principles (DAPL) situates these national approaches within an emerging body of international soft law, where the concept of "control" serves as a functional analogue to possession. Taken together, these contributions illustrate convergence in recognizing that digital assets must be capable of being treated as objects of property rights, while also exposing divergence in the doctrinal and institutional means by which that recognition is achieved.

&lt;p&gt;This book aims to identify the sociological reasons that resulted in the perceived lack of authority of precedents in civil law systems, starting from the premise that common law systems rely on precedents, while civil law systems do not. The reasoning is based on the sociology of law, mainly on Max Weber’s theory, legal theory, and constitutional law.&lt;/p&gt;

&lt;p&gt;English common law, seen by Weber as a law devoid of formal rationality mainly because it does not allow for generalization and comprehensiveness, became a predictable system through stare decisis. This serves to highlight not only that it is not to be confused with common law but especially to clarify that “binding precedents” are necessary as the law moves away from calculability.&lt;/p&gt;

&lt;p&gt;The transformation of civil law due to the impact of constitutionalism, the increasingly widespread use of general clauses, and the evolution of the theory of interpretation eliminated the pretensions of logical positivism and, consequently, the predictability upon which it would be achievable. However, if the law contemplated by Weber ceased to exist and the new law came to depend largely on the subjectivity of the judge, this does not mean that society could remain helpless and devoid of guarantees of predictability and equality, as the new profile of civil law could not be compatible with a coherent legal order and a rational distribution of justice.&lt;/p&gt;

&lt;p&gt;In the end, the book seeks to demonstrate the fundamentality of precedent for the unity and development of law, clarity and generality, promotion of equality, institutional strengthening, limitation of state power, predictability, economic rationality, respect for the law, and increased personal responsibility.&lt;/p&gt;
