Während sich die diesbezügliche wissenschaftliche Diskussion bislang fast ausschließlich auf die Aktiengesellschaft (AG) konzentriert hat, rückt mit der Kommanditgesellschaft auf Aktien (KGaA) eine hybride und damit besonders komplexe Rechtsform in den Fokus, die als Mischform aus Aktiengesellschaft und Personengesellschaft eigene Governance-Besonderheiten aufweist. Das Werk greift dieses praxisrelevante Thema auf, das in diesem Zuschnitt bislang nicht monographisch untersucht wurde, und überführt den aktienrechtlichen Diskurs zur AG systematisch in die KGaA.

Erstmals wird untersucht, ob und in welchem Umfang die KGaA Ziel von Leerverkaufs- und operativem Aktivismus ist und sein kann. Gestützt auf eine rechtstatsächliche Auswertung der börsennotierten KGaA bietet sie einen prägnanten Überblick über Gesellschafterstrukturen und gelebte Governance-Varianten. Zudem analysiert sie, welche strukturellen Schwächen Aktivisten identifizieren und nutzen könnten und welche Gestaltungs- und Abwehrmöglichkeiten einer KGaA zur Verfügung stehen.
