This book analyses recent developments in English corporate restructuring law from a range of comparative and theoretical perspectives, exploring some of the most difficult aspects of the design of domestic restructuring laws and their application in cross-border cases. Recent reforms to English law took place against the backdrop of corporate restructuring law reform initiatives in Europe and in many other regions of the world. These reforms reflect an emerging consensus as to the importance of such laws, both as a complement to macroeconomic stabilisation tools in times of extraordinary crisis, and as a determinant of investment conditions in more ordinary times. But it is one thing to recognise the importance of such laws in the abstract, and quite another to work out precisely how corporate restructuring rules should be designed. This book explores some of the most complex aspects of designing such rules. It does so primarily through the close analysis of the changes made by the enactment of the Corporate Insolvency and Governance Act 2020 (UK), and the interpretation of the new statutory provisions by the courts, although chapter authors draw extensively on examples from other jurisdictions to critically analyse choices made in the UK, and in some cases offer separate evaluation of restructuring law reform processes outside the UK, including in select jurisdictions in the EU and in Africa, and in the US. By drawing on experiences in other jurisdictions, and on insights from theory, the book casts new light on recent developments in English law, suggesting many avenues for further research and a range of implications for policymakers. These implications are brought out in an introductory chapter by the editors introducing the landmark 2020 reforms. This chapter provides a detailed synopsis of each chapter of the book, drawing out connections between them, and articulates some themes that run through the chapters that are salient for policymakers.

Corporate Restructuring Law in Flux

This unique open access collection offers an in-depth understanding of UK-EU police and judicial cooperation post-Brexit, an under-explored field. It considers the legal and political operation of the Trade and Cooperation Agreement (TCA) and its implications for a wide number of policy areas. As well as critiquing its operation, contributors suggest reforms that would improve police and judicial cooperation between the UK and the EU. This scholarly discussion is balanced against practical considerations, with short chapters setting out practitioners' perspectives on the TCA. It ends by reflecting on lessons that non-EU countries seeking cooperation with the EU might learn. North America is increasingly an integrated economic hub, and Canada and Mexico are important to the U.S. (and vice versa) in terms of energy security, trade, cross-border production, and more. This has made regional security and stability more strategically important than the already high level it had attained through geography. In order to understand North America’s growing strategic significance, we need to take a closer look at U.S. policy within the region. In this book, Paul Ashby examines how U.S. now considers North America, defined regionally as the countries within the North American Free Trade Agreement (NAFTA), as a distinct and strategically important economic and security space. Through closer examination of several policy programs with both Canada and Mexico, Ashby demonstrates how the U.S. is actively constructing a regional, North American security architecture based around, but also operating within NAFTA’s perimeters. He contends that increased regional economic integration and important interdependencies spurred by NAFTA are driving, and that these were given far greater impetus by the events and regional impacts of 9/11. North America’s growing strategic importance to the U.S. has encouraged it to take regional security more seriously. This volume explores in detail the use of the doctrine of good faith in the common law when interpreting contracts and resolving disputes. Building on the findings of Good Faith and Relational Contracts (Hart, 2024) the book discusses the implications of relational contract theory and good faith for issues such as liquidated damages clauses, discretion to terminate a contract, contract forfeiture, employment contracts and contractual remedies. The author discusses the potential for good faith to unite a number of currently disparate contract law and equitable principles into a coherent framework, providing an opportunity to question and jettison some archaic aspects of existing doctrine that are no longer defensible. Ambitious and thoughtful, this is a significant statement on the role of good faith in private law.
