This book offers a comprehensive analysis of how recurring contractual practices and arbitral awards in cross-border M&amp;A transactions give rise to transnational M&amp;A law. It begins by defining the scope of inquiry and establishing systems theory as the foundation for understanding the formation of transnational M&amp;A law. The discussion then situates these developments within the broader context of economic globalization and the fragmentation of private law. The book highlights the limitations of uniform law instruments in addressing the complexity of cross-border M&amp;A transactions and emphasizes the strategic use of private governance to manage uncertainty, particularly given the natural incompleteness of M&amp;A agreements.The analysis then identifies the three pillars that support the emergence of transnational M&amp;A law: the form shaped by the dominance of English and US/UK legal terminology; the repetition of clauses that reinforce legal memory; and the adaptation of contractual structures driven by M&amp;A global lawyering and the declining relevance of traditional legal families.Building on this foundation, the book explores the substantive components of cross‑border M&amp;A agreements, showing that the purchase price functions as the cornerstone of every M&amp;A deal. It analyzes how valuation and due diligence influence risk allocation, and examines the modular legal structures that recur across M&amp;A deals.The final chapter presents international commercial arbitration as the most suitable mechanism for resolving cross‑border M&amp;A conflicts. Despite the centrality of international human rights law to the global rights framework, its role in human rights education (HRE) - particularly in schools and community settings - has been sidelined, dismissed as either too technical or too politically problematic. This book challenges that marginalisation head-on. It examines how legal knowledge is framed, valued, or rejected in the theory and practice of HRE, engaging critically with the prevailing trends in the field: one that gestures toward law but avoids depth, and another that disavows law entirely in favour of culturally embedded alternatives. More than half the world's population now lives in cities, with women comprising a growing share of the urban population/residents/people living in urban areas. Yet gender-based poverty remains a persistent and under-addressed issue in international human rights law. No existing convention explicitly tackles the intersection of gender, poverty, and urbanisation. This book breaks new ground by arguing that gender-based poverty in urban areas can - and should - be recognised as a human rights violation. Drawing on legal theory, feminist legal studies, and international human rights frameworks, the book critiques current legal approaches that treat poverty as a social or moral issue, rather than a structural and multidimensional injustice. It advances Sandra Fredman's four-dimensional model of substantive equality - disadvantage, recognition, participation, and transformation - as a more effective legal lens. Focusing on the right to adequate housing, the book explores how states' obligations to respect, protect, and fulfil can be clarified and strengthened through this model. It also examines how principles of equality and non-discrimination interact with progressive realisation and economic, social, and cultural rights. This book offers a comprehensive reconstruction of proportionality in constitutional law, tracing its trajectory from its origins in Prussian administrative law and German constitutional adjudication to its contemporary application across diverse legal systems. Against the conventional approaches that equate proportionality with the weighing of competing values, it argues that this test was originally conceived as a dogmatic instrument for the protection of rights, not as a balancing technique. Through a detailed comparative analysis of the German and Brazilian experiences, the book reconstructs how proportionality gradually shifted from a strict limit on state power to an open formula of judicial discretion, and proposes a coherent model to restore its normative function. The book critically re-examines the philosophical and theoretical assumptions that transformed proportionality into an indeterminate balancing exercise and reconstructs it as a structured dogmatic test defined by constitutional parameters of protection. Engaging with authors such as Robert Alexy, Bernhard Schlink and Ralf Poscher, it maps how proportionality became the dominant method of constitutional adjudication and how that dominance produced both methodological uncertainty and jurisprudential uniformity. Finally, it proposes a theoretical framework that distinguishes proportionality in the singular, as a general abstraction, from proportionalities in the plural, calibrated to the specificities of each right, context and mode of judicial review. This plural and context-sensitive approach restores the analytical precision that contemporary constitutional law often lacks. By combining historical analysis, comparative dogmatics and legal theory, the study contributes to current debates on the legitimacy and limits of judicial review, the boundaries of fundamental rights and the crisis of constitutional interpretation in modern democracies.

This book offers a groundbreaking perspective on the use of documentary evidence in legal proceedings.
 
 In its first part, the book presents a critical overview of the current state of legal scholarship and jurisprudence concerning documentary evidence. It argues that, particularly in civil law jurisdictions, the law often rests on two flawed assumptions: that documents are sensory equivalents and that they are objective, with self-evident meaning that requires no interpretation or intersubjective validation. The result, in the author's view, is a legal culture that treats documentary evidence as a kind of objective "gold standard," obscuring the subjectivity and interpretive work that actually goes into creating and evaluating such evidence.
 
 The second part draws on general epistemology and semiotics to challenge these assumptions. It explores the role of context, the differences between human testimony and machine-generated evidence, and the need for comprehensive evidentiary sets. Through a semiotic lens, it examines various types of signs and the processes of representation and interpretation that underlie each type of documentary evidence.
 
 Building on these theoretical foundations, the third part proposes a new framework for understanding documentary evidence. It emphasizes the need for understanding the “physiological” functioning of each type of document and considers factors such as the nature of the sign, potential pathological or physiological alterations, and whether the source is human or mechanical.
 
 Finally, offers both theoretical insights and practical recommendations for all actors involved in the admission, production, and evaluation of documentary evidence—judges, lawyers, prosecutors, and others—providing tools for a more critical, contextual, and accurate approach to legal proof.
