This book provides an in-depth legal examination of limited partnership in the context of China's venture capital and private equity market. It aims to provide an authoritative and timely evaluation of the Chinese partnership law and limited partnership regime and will be a valuable tool for practitioners who need a readily available source of information on Chinese partnership law and those who wish to understand how the Chinese partnership regime operates and functions. The book explains the essential characteristics of Chinese partnership law and Chinese limited partnership, highlighting difficult and developing areas by examining relevant legislation and recent cases. In addition to Chinese authorities, it also covers legislation and cases from overseas jurisdictions, such as the UK and the US. New developments such as the amendments to the PRC Partnership Enterprise Law 2007, new legislation and regulations on foreign partnerships and private equity funds are also covered. The book explains the essential areas of Chinese limited partnership such as management and control, duties and liabilities of partners, remedies for limited partners, dissolution, liquidation and taxation. Based on thorough comparative and empirical studies, the book examines existing and potential legal problems under the current law and offers key proposals for practitioners and lawmakers. The empirical problems identified in the book may also guide subsequent discussion and legislation on the limited partnership model and the ongoing debate on new business vehicles.

New Frontiers in Regional Science: Asian Perspectives

The primary objective of this book is to address a formal representation of household economy in welfare economics in spatial terms. Although it has been argued since the nineteenth century that in exploring a reasonable indicator to measure the real welfare level of households, several difficulties remain to be faced in economic theory. The most relevant method in this specific topic is social welfare function. While various types of indicators were historically developed and improved as a replacement of existing economic growth indicators such as GDP and GRP using social welfare function, there still is a problem with evaluating the individual's utility as an aggregate term. As an alternative method of measuring the real welfare level of households, location theory may be a possibility for solving some potentially problematic issues. To be precise, location theory requires the inclusion of notions of transportation costs, spatially constrained internal and external economies, and other distance-related variables. From the standpoint of equality, this specific approach enables an analysis to investigate spatial differentiation. In other words, spatial differentiation of households can be interpreted as spatial consumer exclusion. Hence, the real welfare level of households can be measured by means of the accessibility of goods and services, of which there are several types, such as essential and luxury ones. As a result, spatial distribution of goods and services depending on their types can be considered a component of social welfare function. The topics addressed in the book include social welfare function in spatial terms, location theory related to firms and households, attractiveness of regions, economic and social infrastructure elements, and sustainable growth and development of regions.

The dominant discourse views the Indian economy's transformation over several decades as a progression towards a grand, unified, and dynamic market economy. Critiquing this discourse, The Nonfarm Economy illustrates the prevalence and intensification of 'structural dualism'. Using both theoretical and empirical perspectives, Bhattacharjee, Chakrabarti, and Rajeev analyse the origins of this persistence and the deepening of a dualistic developmental pattern. By studying the Indian rural economy and parts of the rural Global South, they demonstrate how the contemporary capital-centric growth process itself has induced the intensification of dualism, alongside factors such as population growth and land fragmentation. Only a limited segment of the impoverished population can integrate with the expanding circuits of capital using their skills, resources, and networks; a large mass of people is thus pushed towards dispossession and exclusion. The book further examines the effects of the COVID-19 pandemic on this development pattern, demonstrating how it has intensified the phenomenon of structural dualism. Contrary to the current prescriptions fixated on formal sector growth and policies extending government support, the authors posit a labour-focused (cluster-based) development model and offer constructive policy recommendations for achieving inclusive growth.

The new macroeconomics is about distributions and flows, rather than points and intersections. Market frictions imply that the search for trading partners is time consuming and costly. Consequently, market participants flow between economic states, and trades occur at dispersed prices. This generates motives for continued search for better market opportunities, and for bargaining between potential trading partners. This volume takes the empirical analysis of markets with frictions to a new level by using unique merged registers from Denmark on firm accounting data, individual employee data, and international trade data to estimate empirically the relevant flow rates, dispersions, and relations among key variables of interest, including productivity, firm size, wages, exports, growth, and unemployment. The results serve to inform researchers and policy makers about the functioning of markets, justify the interpretation of dispersion and flows as equilibrium outcomes, and provide an understanding of cycles, adjustment, and potentials for public policy.
