Contemporary Studies in Corporate Law

This book provides histories of company law, uniting a variety of approaches from law, business and management, economics, and history. What were the origins of company law? How did it begin? Why did it change? There is no single answer to these questions. Each discipline, and sub-discipline, has a different approach and method that brings different facets of study to the fore. This multidisciplinary endeavour is immensely valuable for debates taking place now among policy-makers in the UK and US about returning to historic modes of company regulation. The book brings together Anglo-American scholarship that will not only shed greater light on the history of company law but also influence contemporary debates about our ability to return to, or learn from, the past. Historical research has great value here because it not only generates new insights into the evolution of present legal rules, but also corrects misunderstandings and misapprehensions about them. The book shows how this body of law developed to become the rules with which we are now familiar. It showcases antecedents of present debates, reveals regulatory lessons from previous legal regimes, identifies instances of path dependency, unpicks pivotal legal events, and explains drivers for legal change. 'The law of libel is the instrument of censorship by which dignity-too often pseudo-dignity-is to be upheld.' That is Michael Rubinstein's definition in his introduction to this lively and authoritative account Wicked, Wicked Libels (originally published in 1972) of the libel situation in Britain.The contributors are all actively concerned about libel as a living issue. This collection of essays presents a socio-legal history of epidemics from the medieval period to the present day. Building on previous studies of infectious diseases undertaken by social historians of medicine, this collection explores the histories of epidemics and disease by looking at the legal measures deployed against them. Whilst previous works have considered the mechanisms by which legal change occurs, the social and political assumptions on which new laws and new legal structures are premised and the social changes which follow, this book focuses on the way in which historical actors understood law to be a complex means of responding to disease and the way in which that law shaped (and limited) the responses which could be made to disease. Taking an interdisciplinary approach, it features contributions from scholars across a range of academic disciplines who consider the wider implications of epidemics and disease beyond the obvious health effects. The collection focuses first on regulatory responses such as the quarantine laws and border policies in the eighteenth century, the framing of 'disease' in the Colonial Immigration Acts in the nineteenth century and the ethics of public health in the twentieth century in Great Britain. It then goes on to consider developments in broader legal doctrine which themselves resulted from social and/or legal responses to disease, including the centralisation of labour regulation in the wake of the black death, property disputes about leper houses, pest houses and fever hospitals, and the prosecution of medical professionals for disease transmission in 19th century England. Methodologically all the chapters are historical, but a range of approaches has been taken, from quite traditional doctrinal legal history through socio-legal history to traditional political and social history, to bring the history of epidemics and the legal measures deployed against them in to sharp focus.

Es ist nach wie vor eines der zentralen Grundlagenfächer im juristischen Studium, und dies nicht ohne Grund: Die Rechtsgeschichte gehört in den Kanon jener Fächer, die Selbstvergewisserung und Perspektiven einer Disziplin eröffnen. Zu verstehen, woher Rechtsinstitute kommen, welchen ursprünglichen Anwendungsbereich sie hatten und was die Gründe für ihre Entwicklung waren, hilft bei einer kritischen Auseinandersetzung mit aktuellen Rechtsfragen. Historische Informiertheit kann zu einem tieferen und damit besseren Rechtsverständnis beitragen. Diesem Ziel widmet sich das neue NomosLehrbuch zur Rechtsgeschichte. 
Erörtert wird im Schwerpunkt die deutsche Rechtsgeschichte seit der Vormoderne. Das Lehrbuch nimmt dabei Rechtsentwicklungen insgesamt in den Blick. Vermieden werden anachronistische Rückprojektionen der heutigen Disziplinen Privatrecht, Strafrecht und Öffentliches Recht. Statt Vorgeschichten zu erzählen und Kontinuitäten zu betonen, wird den Lesern ein Gefühl für die Besonderheiten der modernen Rechtsordnungen in Abgrenzung zu älteren Rechtsformen vermittelt. Anne Hermle analyzes the development of Spanish bankruptcy law from the thirteenth century to the 
 Ley Concursal
 of 2003. Her study focuses on identifying the central lines of development and on precisely distinguishing between genuinely Spanish legal innovations and foreign influences. Her approach, based on legal history and comparative law, demonstrates how Castilian norms shaped later Spanish law and which European legal systems exerted influence upon it. The author elucidates the fundamental structures of Castilian insolvency law-from debt bondage and the surrender of assets, through their problematic combination in the 
 Nueva Recopilación
 , to the emergence of an independent commercial bankruptcy regime. She shows that the lived legal practice of the seventeenth century diverged dynamically from the formal statutory framework and was systematized by authors such as Salgado de Somoza. Particular attention is devoted to the 
 Ordenanzas de Bilbao
 . Hermle examines their significance as the first systematic codification within the Spanish commercial sphere and refutes the assumption that they merely adopted French models. The codification efforts of the nineteenth century are likewise analyzed, including the influences of the French 
 Code de Commerce
 as well as Belgian and Portuguese reform initiatives. Overall, the study reveals the development of bankruptcy law as a reflection of political and social transformations. It closes existing research gaps by presenting the entire historical trajectory in a coherent form and situating it within a broader European context.
